I. General Provisions
Article 1 – Subject Matter of the General Terms and Conditions
These General Terms and Conditions govern the relationship between Imperium Immobiliare d.o.o., as a real estate agent, and natural persons or legal entities that enter into a real estate brokerage agreement with the Agency.
These General Terms and Conditions apply together with the individual Brokerage Agreement and the current Price List of brokerage services. In the event of any discrepancy between the individual Agreement and these General Terms and Conditions, the provisions of the individual Agreement shall prevail, provided they do not conflict with mandatory legislation.
Article 2 – Information about the Agency
Imperium Immobiliare d.o.o., Ilica 87, OIB: 74860673682, Register of Real Estate Agents registration number 146/2018, is a licensed real estate agent entered in the Register maintained by the Croatian Chamber of Economy.
II. Definitions
Article 3
The Agency is Imperium Immobiliare d.o.o. An Agent is a natural person who meets the requirements prescribed by applicable regulations and performs agent duties for the Agency or within a contractual business cooperation with the Agency.
Real estate brokerage comprises the Agency's activities related to finding and bringing together the Principal and a Third Party for the purpose of negotiating, preparing and concluding a legal transaction relating to a specific property or a right connected with a property.
The Principal is a natural person or legal entity that enters into a written Brokerage Agreement with the Agency, regardless of whether they act as seller, buyer, landlord, tenant, lessor, lessee, party to an exchange, or in any other capacity.
A Third Party is a person whom the Agency seeks to bring together with the Principal for the purpose of negotiating or concluding the brokered legal transaction, regardless of whether the Agency has also concluded a separate Brokerage Agreement with that person.
The Brokerage Fee is the fee that the Principal undertakes to pay to the Agency when the conditions set out in the Agreement, these General Terms and Conditions and applicable regulations are met. The Price List is the current Price List of brokerage services of Imperium Immobiliare d.o.o., stating its date and year of application.
III. Listings and Property Information
Article 4
The Agency's offer is based on information and documentation that the Agency receives from the property owner, the Principal, public registers or other available sources. Information may be provided in writing, orally or electronically.
The Agency will present information according to the data available to it at the time an advertisement is published, an offer is sent or a viewing takes place. It is not liable for any inaccuracy or incompleteness of information provided by the Principal or another person if, acting with the care of a diligent professional, it could not have detected such inaccuracy.
Floor areas, dimensions, floor plans and other technical data may be indicative only until confirmed by official documentation or by measurement carried out by an authorised person. Photographs, recordings and promotional materials are no substitute for an in-person viewing or for legal and technical verification.
A property listing does not constitute a binding offer to enter into a contract unless expressly stated otherwise. The Agency does not guarantee that a property remains available after it has been advertised, an offer has been sent or a viewing has taken place.
IV. Brokerage Agreement
Article 5 – Conclusion and Content of the Agreement
The Brokerage Agreement is concluded in writing and for a fixed term. In particular, the Agreement contains details of the Agency and the Principal, the Agency's registration number, the type and essential content of the legal transaction, details of the property or the criteria of the property sought, the amount or method of determining the fee, the party liable for payment, any additional services and costs, the duration of the Agreement, and other rights and obligations of the parties.
The Agency's current Price List, stating its date and year of application, forms an integral part of the Agreement. The Price List is signed by the Agency and the Principal, or by any other person who concludes a separate Brokerage Agreement.
Unless otherwise agreed in the Agreement, the Agreement is concluded for a period of 12 months.
Article 6 – Electronic Conclusion and Communication
The Agreement, addenda, notices, statements and other documents may be concluded or delivered electronically provided that their content, the sender's identity and the other party's acceptance can be established. Communication may take place by e-mail, telephone, SMS, messaging apps, the Agency's user interface or other agreed channels.
Article 7 – Assignment of the Agreement and Cooperation
The Agency may assign the Agreement to another licensed real estate agent only if this possibility has been expressly agreed with the Principal. In the event of assignment, the Agency will provide the Principal with written notice or a list of the agents to whom the Agreement has been assigned.
In order to complete a transaction, the Agency may cooperate with other licensed agents, agents, business partners and external experts. Unless expressly agreed otherwise, the Principal pays the fee exclusively to Imperium Immobiliare d.o.o.
V. Termination of the Agreement
Article 8
The Agreement terminates upon expiry of its term, upon conclusion of the brokered legal transaction and performance of the contractual obligations, by mutual agreement, by termination by one of the parties, or in other cases provided for by the Agreement or by law.
Termination of the Agreement does not affect the Agency's already accrued right to the fee, to specifically agreed costs or to compensation for damages.
Article 9 – Transaction Concluded after Termination of the Agreement
If, after termination of the Agreement, the Principal concludes a legal transaction that is a direct result of the Agency's activities prior to termination, the Agency is entitled to the full agreed fee, unless the Agreement expressly provides otherwise. This also applies where the transaction is concluded with a person connected to the Third Party, through another person, or in another legal form that achieves the same or a substantially similar economic purpose.
VI. Exclusive Brokerage
Article 10
Exclusive brokerage must be expressly agreed. By it, the Principal undertakes not to engage another agent for the same transaction for the duration of the agreement.
If, during the term of exclusive brokerage, the Principal concludes the brokered transaction through another agent, the Principal must pay Imperium Immobiliare d.o.o. the agreed fee and any specifically agreed actual costs. If the Principal concludes the legal transaction independently, the consequences are determined by the individual Agreement.
Before concluding such an Agreement, the Agency must specifically draw the Principal's attention to the meaning and legal consequences of the exclusive brokerage clause.
VII. Obligations of the Agency
Article 11
Depending on the type and scope of the agreed brokerage, the Agency is in particular obliged to:
- endeavour to find a Third Party and bring them together with the Principal for the purpose of negotiating and concluding a transaction;
- inform the Principal of available market conditions and comparable prices;
- obtain and review available documents proving ownership or another right in rem;
- inspect the available land registry (zemljišna knjiga) and cadastral records;
- inform the Principal of any known circumstances relevant to the transaction;
- prepare the property for presentation to the market and produce standard photographs and a listing where so agreed;
- advertise and present the property, communicate with interested persons and arrange viewings;
- allow or refuse viewings in line with the Principal's interests and professional judgement;
- take part in communication and negotiations where such a service has been agreed;
- coordinate the preparation and conclusion of the preliminary contract and the main contract;
- safeguard personal data and confidential information;
- in the case of land, verify its designated use against available spatial planning data;
- inform the Principal of anti-money laundering and counter-terrorist financing obligations where applicable;
- keep the prescribed records and act with the care of a diligent professional.
Article 12 – Post-Transaction Assistance
If the Principal expresses interest and the necessary conditions are met, the Agency may, within the agreed service, assist with organising the handover, drawing up the handover record, meter readings, changing the account holder for utilities, steps connected with the transfer of ownership, and communication with banks and authorised professionals.
The Agency does not provide legal, notarial, land surveying, architectural, tax, valuation or other services requiring special professional authorisation. The costs of such professionals are not included in the fee unless expressly agreed otherwise in writing.
Article 13 – Limitation of Liability
The Agency is not liable for the performance of obligations that the Principal and the Third Party have assumed towards each other under a preliminary contract, contract or other legal transaction.
The Agency is not liable for hidden defects that it could not have detected through a customary inspection and the available documentation, for inaccurate information supplied by other persons that it could not reasonably have detected, for decisions of public authorities, banks or other third parties, for market changes, loan refusals, or for delay or non-performance by the contracting parties.
The limitation of liability does not apply to damage caused intentionally or by gross negligence, nor to liability that cannot be excluded under mandatory law.
VIII. Obligations of the Principal
Article 14
The Principal is obliged to:
- provide accurate, complete and truthful information about the property and the legal transaction;
- present documents proving ownership or another right, and disclose any encumbrances, third-party rights, disputes, proceedings and defects;
- provide the documentation in their possession, including the relevant permits and the energy performance certificate where required;
- inform the Broker whether the property constitutes marital or other jointly acquired property;
- provide the necessary consents of co-owners and other authorised persons;
- allow the property to be photographed, advertised, presented and viewed to the agreed extent;
- promptly inform the Broker of offers, negotiations, reservations, preliminary agreements, contracts and payments;
- pay the agreed fee once the right to payment arises, as well as any specifically agreed costs;
- cooperate in good faith and provide the documentation required to carry out anti-money laundering measures.
Article 15
The Principal is not obliged to enter into negotiations or conclude a legal transaction. Withdrawing from negotiations does not in itself create an obligation to pay the full fee, unless the right to the fee has already arisen under the Agreement and applicable regulations. If the Principal acts fraudulently, in bad faith or with the intent of depriving the Broker of the fee, the Broker is entitled to claim compensation for provable damage and for specifically agreed costs.
IX. Advertising and Viewings
Article 16 – Advertising
The Broker may not advertise a property without a previously concluded Agreement with the property owner or another authorised Principal. The Broker may advertise the property on its website, on portals, on social media, in the media, through its internal client database and through other appropriate channels.
Article 17 – Viewings
The Broker may not make a viewing of a property it advertises under an Agreement with the owner conditional upon first concluding a Brokerage Agreement with the buyer, tenant, lessee or another Third Party.
During a viewing, a Viewing Confirmation is signed, by which the Broker or Agent proves to the Principal that the property was shown to a particular Third Party. The Confirmation is not a Brokerage Agreement, does not create an obligation to pay a fee, does not oblige anyone to make an offer or conclude a legal transaction, and does not constitute a reservation of the property.
If a Third Party wishes Imperium Immobiliare d.o.o. to represent or advise them, actively search for a property for them or perform other brokerage services for them, a separate Brokerage Agreement is concluded with that party.
X. Brokerage for Both Contracting Parties
Article 18
The Broker may act for both contracting parties in relation to the same property only if a separate Brokerage Agreement has been concluded with each of them. The Broker may not charge a fee to a buyer, tenant, lessee or other Third Party with whom no separate Agreement has been concluded.
If the Broker has an Agreement with both parties, before the Agreement is concluded the Broker informs them in writing of each party's fee and the total amount of fees. The notice may be a separate document, an annex or a clearly separated article of the Agreement.
If both parties pay a fee, the total amount may not exceed the maximum total amount set out in the applicable Price List. If the Broker has an Agreement with both parties but only one party pays the fee, that party may be charged no more than half of the maximum total fee set out in the applicable Price List.
XI. Brokerage Fee
Article 19 – Amount of the Fee
The amount of the fee is determined by the individual Agreement in accordance with the applicable Price List. VAT is added to all agreed amounts at the applicable rate. The fee may be agreed as a percentage of the transaction value, as a percentage of the monthly rent or lease payment, as a fixed amount, or as a combination of these methods, provided this is clearly specified in the Agreement.
Article 20 – Single Nature of the Fee
The fee covers the standard services set out in the Agreement, these General Terms and Conditions and the Price List, and constitutes a single fee for the entire brokerage and the result achieved, not the sum of individual prices for each action.
The fact that a particular service was not needed, not applicable, not requested or used, could not be performed due to missing documentation, consents or powers of attorney, or that the need for it has ceased, does not in itself reduce the agreed fee.
Not using an ancillary or administrative service, including assistance with handover, meter readings, land registry entry or changing the account holder for utilities, does not affect the Broker's right to the agreed fee. This does not release the Broker from a service that was expressly agreed, is objectively feasible, and was requested and made possible by the Principal in good time.
Article 21 – Accrual of the Right to the Fee
The Broker acquires the right to the fee once the contract for which the Broker acted as intermediary has been concluded. If the Brokerage Agreement expressly so provides, the right arises as early as the conclusion of a preliminary agreement. The fee is not required in advance, before the preliminary agreement or the contract for which brokerage was provided has been concluded.
Article 22 – Fee Due Date
The exact moment the right arises, the due date, the deadline and the method of payment are determined by the individual Agreement. The Agreement may provide for payment in full after the preliminary agreement, in instalments after the preliminary agreement and the main agreement, after the main agreement, or within another agreed period after the right arises.
Withdrawal from performance of an already concluded preliminary agreement or contract does not affect the Broker's right if it has already arisen. Loan refusal, lack of funds or a change of decision after the legal transaction has been concluded do not affect the right that has arisen, unless the Agreement expressly provides otherwise.
Article 23 – Introduction of Parties
The Broker is deemed to have enabled contact in particular if the Broker organised or conducted a viewing, referred the Principal to a viewing, arranged a meeting or communication, submitted an offer or information identifying the property or the Third Party, provided access to documentation, or otherwise enabled negotiations or the conclusion of the transaction.
Introducing the parties does not have to involve a physical viewing. General advertising without a specific connection is not in itself sufficient for the right to a fee to arise. The introduction may be proven by a Viewing Confirmation, CRM records, e-mail, telephone records, messages, a submitted offer and other business records.
Article 24 – Related Persons and Transactions with the Same Purpose
The Principal is obliged to pay the fee even if they conclude with a Third Party introduced by the Broker a legal transaction different from the one originally envisaged, where it achieves the same or a substantially similar purpose or relates to the same property.
The right also exists if the transaction is concluded by a person related to the Principal or the Third Party, where the circumstances indicate that the transaction resulted from the Broker's efforts. Related persons include in particular spouses and unmarried partners, life partners, parents, children and other close family members, legal entities in which the person holds an ownership or management interest, and persons acting on their behalf.
XII. Additional Services and Special Costs
Article 25
The costs of additional services not covered by standard brokerage activities may be charged only if they have been specifically agreed in writing in advance. The written agreement specifies the type and description of the service, the amount of the cost or the method of calculation, the party liable to pay, and the method and deadline of payment.
Additional services may include special marketing campaigns, professional photography and videography beyond the standard scope, drone footage, floor plans, 3D renderings and virtual tours, banners and signs, premium advertising, special market analyses, targeted market research, obtaining special documentation, translations and certifications, engaging experts, and special travel costs.
The fee does not include the costs of legal, notarial, tax, banking, translation, surveying, architectural, construction, valuation and other professional services provided by third parties, nor administrative, court, land registry and other fees, unless expressly agreed otherwise in writing.
XIII. Price List
Article 26
The applicable Price List of brokerage services of Imperium Immobiliare d.o.o. forms an integral part of these General Terms and Conditions and of each individual Agreement. The version in force on the date the Agreement is concluded applies, with the indicated date and year of application.
The Price List sets out the maximum and minimum fee amounts, the parties liable to pay, the services included in the fee, the maximum total amounts for brokerage for both parties, and additional services and special costs.
The Price List is presented to the Principal before the Agreement is concluded and is signed by the Broker and the Principal, or by another person concluding a separate Agreement. The Price List is displayed at the Broker's business premises and on the website ii.hr.
XIV. Anti-Money Laundering
Article 27
The Agent is obliged to implement anti-money laundering and counter-terrorist financing measures. Upon request, the Principal is required to provide identification data and documents, information on the beneficial owner, the purpose and nature of the business relationship, the source of funds where necessary, political exposure, and any other documentation the Agent is required to obtain.
The Agent may refuse to enter into or perform the Contract, temporarily suspend the business relationship, or take any other action provided for by law if the Principal refuses to provide the required information or if circumstances exist that prevent the lawful provision of the service.
XV. Protection of Personal Data
Article 28
Imperium Immobiliare d.o.o. processes personal data in accordance with the General Data Protection Regulation, the Act on the Implementation of the General Data Protection Regulation, and other applicable regulations.
Data may be processed in order to take steps prior to entering into the Contract, to conclude and perform the Contract, to organise and record property viewings, for communication, record-keeping, compliance with tax and other legal obligations, implementation of anti-money laundering measures, protection of legitimate rights and interests, handling of complaints, and marketing communication where an appropriate legal basis exists.
The Agent makes a Notice on the Processing of Personal Data available to the data subject. No separate consent is required for processing that is necessary for the conclusion or performance of the Contract, for compliance with a legal obligation, or for a legitimate interest. Where consent is required, it is given voluntarily and may be withdrawn. Refusing marketing consent does not affect the use of the basic service.
XVI. Complaints and Dispute Resolution
Article 29
The Principal may submit a written complaint by e-mail to info@ii.hr, by post, or in person at Ilica 87. The complaint should include the complainant's details, a description of the reasons, the reference of the property or Contract where applicable, and the complainant's request.
The Agent will respond within the period prescribed by applicable regulations. The parties will seek to resolve disputes amicably and, where this is not possible, the competent court shall have jurisdiction under the applicable rules. If the Principal is a consumer, the jurisdiction clause does not limit their rights under mandatory regulations.
XVII. Publication and Application of the General Terms and Conditions
Article 30
These General Terms and Conditions must be displayed in a visible and accessible manner at the registered office, branches, offices, and separate premises of the Agent, and are published on the website ii.hr.
Before the Contract is concluded, the Principal is given the opportunity to review the current General Terms and Conditions. By signing the Contract, the Principal confirms that they have been given this opportunity, that they are familiar with the terms, and that they accept them as part of the contractual relationship.
Amendments to the General Terms and Conditions apply to Contracts concluded after their entry into force, unless the parties agree otherwise in writing for an existing Contract.
XVIII. Final Provisions
Article 31
Matters not regulated by the Contract, these General Terms and Conditions, and the Price List are governed by the Real Estate Brokerage Act, the Obligations Act, and regulations on consumer protection, personal data protection, anti-money laundering, and other applicable regulations of the Republic of Croatia.
If any provision becomes null, invalid, or unenforceable, this does not affect the validity of the remaining provisions. Such a provision will be replaced by a lawful provision that is closest in purpose to the original.
Article 32 – Entry into Force
These General Terms and Conditions enter into force and apply from 7 July 2026. On the date of entry into force, all previous General Terms and Conditions of Imperium Immobiliare d.o.o., together with their amendments and supplements, cease to apply.
